These terms govern your use of the Practacular platform. They are published here so the terms you accept in the platform are readable before you sign up.

1. Introduction

Practacular (“the Platform”) is an AI-powered practice management platform designed for South African accounting firms. The Platform is operated by Yield SPM (Pty) Ltd (registration number 2024/185151/07), a company registered in the Republic of South Africa (“we”, “us”, “our”).

By accessing or using the Platform, you (“User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Platform.

2. Definitions

  • “Platform” means the Practacular web application and all associated services.
  • “User” means any individual who accesses the Platform, including firm staff and clients.
  • “Firm” means an accounting practice registered on the Platform.
  • “Client” means a taxpayer or entity whose data is managed on the Platform.
  • “Personal Information” has the meaning ascribed in section 1 of the Protection of Personal Information Act 4 of 2013 (“POPIA”).

3. Service Description

Practacular provides cloud-based practice management tools for South African accounting firms, including but not limited to:

  • Client management and onboarding
  • Document intelligence (OCR, classification, extraction)
  • SARS correspondence tracking and deadline management
  • Financial data synchronisation via Xero
  • Annual Financial Statement preparation
  • AI-assisted tax advisory and compliance monitoring

All data is stored in Google Cloud Platform’s africa-south1 region (Johannesburg, South Africa) for POPIA compliance.

4. User Obligations

You agree to:

  • Provide accurate and complete information when using the Platform.
  • Safeguard your login credentials and not share them with unauthorised parties.
  • Notify us immediately of any suspected unauthorised access to your account.
  • Comply with all applicable South African laws and professional standards.
  • Not use the Platform for any purpose other than its intended professional accounting use.

5. Acceptable Use

The Platform is intended solely for professional accounting and tax advisory purposes. You must not:

  • Use the Platform for any unlawful purpose.
  • Attempt to gain unauthorised access to any part of the Platform.
  • Introduce malicious code, viruses, or harmful data.
  • Reverse-engineer or decompile any part of the Platform.
  • Use automated systems (bots, scrapers) to access the Platform without permission.

6. Intellectual Property

The Platform, its design, code, and underlying technology are the intellectual property of Yield SPM (Pty) Ltd. All rights are reserved.

Your data remains your property. By using the Platform, you grant us a limited licence to process your data solely for the purpose of providing the Platform’s services.

7. Data Processing

Your use of the Platform involves the processing of personal information as described in our Privacy Policy, published at www.practacular.com/privacy. By accepting these Terms, you acknowledge that you have read and understood the Privacy Policy.

The Platform uses artificial intelligence (AI) models to process your data for the purposes described in these Terms and the Privacy Policy. This includes the use of third-party AI services (Anthropic Claude and Google Gemini) for document analysis, tax advisory, and communication assistance.

8. AI-Generated Content

IMPORTANT: AI-generated content on the Platform (including tax advice, draft correspondence, financial analysis, and compliance recommendations) is provided for advisory and informational purposes only.

AI-generated content does NOT constitute:

  • Formal legal advice
  • Formal tax advice
  • A substitute for professional judgment

Users must apply their own professional judgment when relying on AI-generated content. Accounting professionals remain responsible for verifying all AI outputs before acting on them or presenting them to clients or SARS.

9. Limitation of Liability

To the maximum extent permitted by South African law:

  • The Platform is provided “as is” without warranties of any kind.
  • We shall not be liable for any indirect, incidental, or consequential damages.
  • We shall not be liable for any loss arising from reliance on AI-generated content that has been used as formal advice without independent professional verification.
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

10. ECTA Compliance

The Platform complies with the Electronic Communications and Transactions Act 25 of 2002 (“ECTA”). All document operations are secured with SHA-256 hash chains providing tamper-evident audit trails as required by ECTA.

We do not publish a telephone number. Written enquiries to info@practacular.com are answered by a person within one business day, and requests concerning personal information may be sent to privacy@practacular.com. Our place of business is Stellenbosch, Western Cape, South Africa.

11. Termination

Either party may terminate this agreement at any time by providing written notice.

Upon termination:

  • Your access to the Platform will be revoked.
  • You may request an export of your data within 30 days of termination.
  • After 30 days, your data will be permanently deleted in accordance with our data retention policy, except where retention is required by law (e.g., Tax Administration Act requirements).

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the South African courts.
